Notice Concerning the Effective Date of the Partial Amendments to the Articles of Incorporation
As announced in "Notice Regarding the Partial Amendments to the Articles of Incorporation" dated May 10, 2016, subject to the condition that the share exchange based on the Share Exchange Agreement dated as of March 30, 2016 entered into by and between Minebea Co., Ltd. ("Minebea") and MITSUMI ELECTRIC CO., LTD. ("MITSUMI") (the "Share Exchange") shall become effective, Minebea determined to amend Article 1 (Trade Name) and Article 17 (Total Number of Directors) of its current Articles of Incorporation as of March 17, 2017, which was the scheduled effective date of the Share Exchange. (This proposal to partially amend Minebea's Articles of Incorporation was approved and adopted at Minebea's 70th ordinary general meeting of shareholders held on June 29, 2016.)
As announced in "Notice Concerning a Change in the Effective Date of the Share Exchange in Connection with the Business Integration of Minebea Co., Ltd. and MITSUMI ELECTRIC CO., LTD." dated today, Minebea and MITSUMI have agreed to change the effective date of the Share Exchange to January 27, 2017, and resolutions of their respective board of directors were adopted today to that effect.
Minebea hereby announces that, in connection with the above, the amendments to Article 1 (Trade Name) and Article 17 (Total Number of Directors) of its current Articles of Incorporation are expected to become effective on January 27, 2017, which is the revised effective date of the Share Exchange, subject to the condition that the Share Exchange shall become effective.
